Hold-Harmless Waiver

Important Notice

BY USING YOOHOO.GURU, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS HOLD-HARMLESS WAIVER AND RELEASE OF LIABILITY.

IF YOU DO NOT AGREE TO THIS WAIVER, DO NOT USE THE PLATFORM.

Acknowledgment of Risks

You acknowledge and understand that:

• Yoohoo.Guru is a platform that connects users; we do not employ or supervise Gurus
• During Phase 1, we do NOT perform background checks, criminal history checks, sex offender registry checks, or motor vehicle record checks
• We do NOT verify claimed skills, certifications, licenses, or insurance
• Meeting strangers from the internet inherently carries risk
• Services performed may result in injury, property damage, or other harm
• The quality and safety of services is not guaranteed by Yoohoo.Guru

Release & Waiver of Liability

In consideration of being permitted to use the Yoohoo.Guru platform, you hereby:

RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE InTellMe, its owners, officers, employees, agents, and affiliates (collectively "Released Parties") from any and all liability, claims, demands, actions, or causes of action arising out of or related to any loss, damage, or injury, including death, that may be sustained by you, or to any property belonging to you, WHETHER CAUSED BY THE NEGLIGENCE OF THE RELEASED PARTIES OR OTHERWISE, while using the Platform or receiving services arranged through the Platform.

Indemnification

You agree to INDEMNIFY, DEFEND, AND HOLD HARMLESS the Released Parties from any and all claims, actions, suits, procedures, costs, expenses, damages, and liabilities, including attorney's fees, brought by you or any third party arising out of or in connection with:

• Your use of the Platform
• Any job you post, apply to, or complete
• Your interactions with other users
• Your violation of these Terms or any applicable law
• Any injury or damage to persons or property

Phase 1 Limitations

You specifically acknowledge that during Phase 1 of Yoohoo.Guru operations:

• NO background checks of any kind are performed
• You are solely responsible for assessing the trustworthiness of other users
• The Platform's two-sided review system and prohibited category list are the primary safety mechanisms
• You should exercise the same caution you would when meeting any stranger

By continuing to use the Platform during Phase 1, you accept these additional risks and limitations.

Governing Law

This waiver shall be governed by the laws of the State of Tennessee, without regard to conflict of law principles. Any dispute arising under this waiver shall be resolved in the courts of Washington County, Tennessee.

If any provision of this waiver is found to be unenforceable, the remaining provisions shall remain in full force and effect.
